A person who performs or causes conduct to be performed in the name of an organization or on its behalf is legally accountable the same as if the conduct were performed in the person's own name or behalf.
Except as otherwise expressly provided, if a duty to act is imposed upon an organization by or pursuant to statute, any agent of the organization having primary responsibility for the subject matter of the duty is legally accountable for an omission to perform the required act the same as if the duty were imposed directly upon the agent.
